Bangkok: NCL International Logistics Public Company Limited (NCL) has successfully increased its capital by completing a private placement (PP) offering, smoothly allocating the remaining shares. The company has offered 100 million shares at a price of 0.32 baht per share to a private placement, following the previously allocated 66 million shares. This capital increase brings the registered capital to 173.55 million baht.
According to Thai News Agency, Mr. Phongthep Wichaikul, Chief Executive Officer of NCL, revealed that the company has informed the Stock Exchange of Thailand about the allocation of 100 million remaining common shares for a private placement at a price of 0.32 baht per share. This allocation followed the Board of Directors' approval of the subscription and payment date on September 17th.
The capital increase aligns with the resolution of the general meeting of shareholders held on April 18, 2025. The meeting approved the company's registered capital increase of 41.5 million baht, raising it from the original 132,058,498.25 baht to the new 173,558,498.25 baht by issuing up to 166 million additional ordinary shares with a par value of 0.25 baht per share. The resolution also approved the allocation of additional ordinary shares for sale to a limited number of persons (PP) at an offering price of 0.32 baht per share, set at the market price or not less than 90% of the market price during the offering period.
Previously, shareholders had resolved for the company to allocate 166 million additional common shares for sale to a limited number of persons, with 66 million shares already allocated in May. The remaining 100 million shares were allocated on September 19, 2015, completing NCL's capital increase plan and enabling the company to sell all PP shares as planned.
The company has recently completed the registration of the change in paid-up capital with the Department of Business Development, Ministry of Commerce. Consequently, NCL now has paid-up capital of 173,558,498.25 baht, divided into 694,233,993 issued common shares with a par value of 0.25 baht per share, matching the total registered capital.
